Hayya Terms and Conditions

• 1.1 "Hayya" means the brand name of the licensed mobile calling and messaging application, and the name of the product's and service's website.
• 1.2 "App" means Hayya application, which is provided by TeleYemen.
• 1.3 "Account": means the account that is set up by us and associated with a mobile phone number that is provided by you which might be credited by you with amount purchased by you to make international calls to specific destination decided by us.
• 1.4 "Charges" means fees to be paid to use service calculated according to rate shown on Hayya Website.
• 1.5 "Verification Code": means a message or messages that sent to you by SMS to verify your account when download the app.
• 1.6 "Service or "Services" refers to Hayya app, a calling service which provide international calling capabilities and other features.
• 1.7 "Terms and Conditions" mean these terms and conditions that form the entire agreement You & Us
• 1.8 "Website" means Hayya Website. www.Hayya.com.ye
• 1.9 "we", "us", "our" or "TeleYemen" means Yemen International Telecommunication Company, LLC
• 1.10 "you", "your", "user" mean the user of the app and Service(s).

• 2.1 To use Hayya App, Features and Service(s) you must set up an Account and provide certain information like phone number and country code, all of your registration information is protected.
• 2.2 Once you download the App and set up your user Account and become Hayya user you can call mobile and landline in Yemen at a rate that can be viewed in Hayya Website, you can also call, chat, with others Hayya app users when Apps are connected to Internet.
• 2.3 You agree and warrant that the information you submit during registration is truthful and accurate and that you will maintain the accuracy of such information. You may not transfer your Account and you will be responsible for the activities associated with your Account.
• 2.4 You agree that we will not be liable for any damages or loss as a result of your failure to keep the confidentiality of your Account credentials.
• 2.5 We make no obligation that Hayya App or Service are available in particular location, choosing to access the App or our service(s) is your own initiative and you are responsible to comply with any applicable laws including but not limited to applicable local laws, there might be some restriction on the use of the App in some countries, you are responsible to check availability of use.
• 2.6 We cannot guarantee Service(s) or calls made from the App are not interrupted, or disconnected for any reason, or for delay, failure or restriction.
• 2.7 You admit that you have all the necessary authority to enter into and comply with the Terms and Conditions and that you are of the applicable legal age in the country where you are.
• 2.8 The App doesn’t provide you with access to call toll-free numbers or emergency calls.
• 2.9 We may provide additional improve, upgrade or update, or perform maintaince to Hayya Services or App features or the Website, from time to time which may be subject to additional terms. This might result on suspension or limitation on the use of the App, Service, Website. You admit that you are not entitled to claim damages for such stop or limitation of use.
• 2.10 We may at our sole discretion change, remove, disable access to Service, or App at any time without any notice, we are not liable for such removal, change or disabling the access to the App or Service.

3.1 We may at our sole discretion make some changes or modifications at any time and for any reason to these Terms and Conditions, check our Website to see update and check last update date for these Terms and Conditions.

• 4.1 You agree that the App can be installed on mobile devices that you own through individual Hayya Account, we grant you non-exclusive, nontransferable, limited right to install and use the App controlled by you, and you are going to access and use the App in accordance with the Terms and Conditions of this mobile Application license contained in these Terms of and Conditions.
• 4.2 you give your consent not to disassemble reverse engineer, modify, decompile, attempt to derive the source code of, or decrypt the App; improve, enhance the app. remove, alter, or obscure any proprietary notice including copyright or trademark.
• 4.3 You may not use the App for any commercial product or service to third parties, but you are free to use the App for your business communication.

5.1 We have the right to terminate or suspend your User Account, use of Hayya App or the Services without any prior notice and without any compensation for such termination, the suspension can occur as a result, include but not limited to: making improvement for the Services or App functionality, the inactive Account for more than year, the improper access to the App or Services, to comply with government request or judicial order, in case of the breach of these Terms and conditions or in case of our suspect that you are using the App and the Service to break the law or third party right.

• 6.1 We have different flat rate packages published on Hayya Website, we might change plans or packages and rates from time to time without notice to you by publishing those changes on Hayya Website, we reserve the right to select the destination, you can make calls from App to landline or mobile on the destination according to notification given in App or Hayya Website, after you credit your Account with sufficient value to buy a plan and you can top-up your Account balance or purchase a plan through the App by credit card or any other means that we might notify you to use.
• 6.2 For each plan to be purchased or the renewal of a plan require payment of the plan fees plus any applicable taxes and Charges. Plans available only for those who created an Account and cannot shared among multiple users. Calls might be limited by destination, type of carrier or type of phone (landline or mobile) in destination, we reserve the right to remove, add a destination or carrier or phone type at any time.
• 6.3 We are not responsible for any reduction of your Account that result from unauthorized or authorized used, it's your responsibility to keep the confidentiality of your Account credentials.
• 6.4 if you don’t use your credit or purchased plan for a period of (one year) then your credit will not be refundable, Account can be re-activated by sending an email to technical support team, lost of your credit can happen if your Account is cancelled due to your cancellation for your Account, removal of Hayya App from mobile phone, you don’t make calls for a period of one year; you don’t reinstall the App within one year;
• 6.5 App to App feature (if available) with WiFI connection allow users of Hayya App to make calls, send messages, without any fees, we don’t charge for any calls made from App to App however we are not responsible for any Charges or claims by Mobile providers for data (Internet) usage.
• 6.6 Call duration is rounded up to whole minute increments, fraction of minutes will be rounded up to next minute.
• 6.7 We provide text messaging (SMS) to mobile phone with a charge can be viewed on Hayya Website, we cannot guarantee the receiver will be able to receive your message or reply to it.
• 6.8 Purchased plan are non-refundable, all transactions done are final and non-refundable.

7.1 To the maximum extent permitted by applicable law, in no event shall we being liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, loss of sales, loss of or damage reputation, for business interruption, for personal injury, loss of privacy arising out of or in any way related to the use of or inability to use the Service, third-party software and/or third-party hardware used with the Service, or otherwise in connection with any provision of this Terms and Conditions).

8.1 You agree that all of the trademarks, Service, symbols, logos, and others used by Hayya are intellectual property rights and property that is protected by applicable law, you give your consent that you will not use such materials in any way except for permitted use.

9.1 These Terms and Conditions and your use of Hayya App, Service(s), and Hayya Website will be governed by and construed in all respects in accordance with the laws of Republic of Yemen.

10.1 Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not affect either you or us ability to exercise such right or require such performance at any time thereafter nor shall the waiver of a breach constitute a waiver of any subsequent breach.
